The main element that initiates a foreign trade transaction is a sales contract. The contract does not necessarily have to be in writing, but the proposed is "written". Mutual correspondence, granting approval to the offer and proposal, and granting approval to the proforma invoice may also replace the written contract. A sales contract is a document that contains the basic principles and terms of agreement of the export-related goods transaction. Contracts are agreements that are mutually signed between two or more parties and which include the parties' rights views and responsibilities.
In the event of a dispute, the parties may elect their own country courts or a neutral country court. This can lead to the surprises of different legal systems and the passing of time, as well as their costs can be variable and excessive. Depending on the situation, which of the 3 options (seller country, buyer country, third country) will be appropriate, and where the other country is. You can also go to arbitration boards before the trial.
For reasons such as the adoption of uniform rules to be applied to contracts for the sale of international goods and to take into account different social, economic and legal systems, it has been accepted by the United Nations that the adoption of the rules will help to remove legal barriers to international trade, and for reasons such as the development of international trade, it has been accepted by the United Nations that "CONTRACTS OF CONTRACT TO THE MAL SELLING". Our country joined this Treaty on 2/4/2010.
It would be appropriate for our import and export businesses to pay attention to this situation in their purchase and sale contracts.
